Definitions
The following definitions apply throughout this document:
You – The customer signing this contract.
Us/We – Green Grid Pty Ltd trading as Ultimate Energy Australia (ABN 21 676 134 811).
Agreement – The completed Signing Page incorporating these Terms and Conditions.
Signing Page – The document completed by You, confirming acceptance of these Terms and Conditions.
Property – The customer’s premises where the Goods are installed.
Goods – The system specified in the Quote.
Installer – Licensed Electrical Contractor, Licenced Electrician, SAA Solar and Battery Certified.
Product – Solar PV, Solar Inverter, Solar Battery Storage System, and Solar System installation kit.
STC – Small Technology Certificates under the Renewable Energy (Electricity) Act 2000.
PDRS – Peak Demand Reduction Scheme
PRC – Peak Reduction Certificate
Small Generation Unit – As defined in the Renewable Energy Regulations 2001.
GST – Goods and Services Tax.
Nominated Output – The manufacturer’s stated expected output for the solar panel.
1. Formation of the Agreement
1.1 The Agreement is formed when:
You submit the completed Signing Page; and
We receive the Part Payment (as proof of acceptance).
1.2 You confirm that:
i) You are at least 18 years old;
ii) You own the Property or are authorized by all owners to enter this Agreement; and
iii) You have read, understood, and agreed to these Terms.
2. Purchase Agreement
2.1 We agree to supply and arrange the installation of the Product, provided You:
a) Pay the agreed amount;
b) Assign all STC rights to Us; and
c) Complete all documentation for Us to claim rebates/STCs.
2.2 You authorize Us to use payments to secure the Goods.
3. Site Inspection
3.1 We rely on Your answers about the Property and eligibility for incentives.
3.2 We may inspect the Property to verify accuracy. You agree to:
a) Grant access to Us/our contractors; and
b) Be present during inspections/installation if requested.
4. Quotation
4.1 The Quote includes the Part Payment required to secure the Goods.
4.2 The Quote may change if Your provided information is inaccurate.
4.3 Quotes are based on current rebates/discounts; changes may affect pricing.
5. Payment
5.1 Part Payment (10% of total, excluding finance) is due upon Agreement.
5.2 Full Payment is due before installation (via EFT, cheque, or credit card).
5.3 Payments are valid only upon cleared funds.
5.4 Late payments incur 5% monthly interest plus recovery costs.
6. Delivery & Installation
6.1 We will make every effort to schedule the installation by the agreed date; however, we cannot guarantee specific timeframes.
6.2 You may specify panel/inverter/battery locations (subject to feasibility).
6.3 Installation follows our design unless unforeseen changes arise (costs may adjust).
6.4 You/representative must be present during installation.
6.5 All electrical work will be performed by a licensed electrician, holding current and valid licenses as required by the NSW Government.
6.6 Installer will:
Ensure the system is installed in compliance with the Electricity (Consumer Safety) Act 2004 (NSW), AS/NZS 3000 Wiring Rules, and other applicable laws and standards.
Ensure the system is installed by a SAA-accredited installer and all products used are CEC-approved.
6.7 A Certificate of Compliance for Electrical Work (CCEW) will be provided upon completion.
7. Additional Installation Charges
7.1 Extra charges apply if:
a) Your provided information is inaccurate;
b) Installation faces unforeseen difficulties;
c) Additional parts are needed; or
d) The Property changes post-inspection.
7.2 We will notify You of amended costs; You may cancel within 5 days.
8. STCs & Rebates
8.1 Quotes assume STCs/rebates remain available at installation.
8.2 You assign all STC rights to Us and must complete required paperwork on the day of installation.
8.3 An STC discount is provided upfront in exchange for this assignment.
8.4 You forfeit all STC rights related to the Goods.
8.5 The Goods must be the first Small Generation Unit at the Property.
8.6 You are responsible for applying for rebates/feed-in tariffs.
8.7 You must cooperate with any audit or inspection by the rebate provider.
9. Failure to Assign STCs
9.1 If You breach Clause 8:
a) The Full Payment increases by the STC discount value;
b) For unpaid amounts post-installation, We may repossess the Goods and recover costs.
10. Supply Delays
10.1 Unavailable Goods will be delivered when in stock (no liability for delays).
10.2 Installation may wait for bulk orders or site assessments.
10.3 Estimated timelines are not binding.
11. Product Performance
11.1 We cannot guarantee savings due to variables (sunlight, shading, etc.).
11.2 Battery recommendations are based on Your usage data; changes may affect performance.
11.3 Contact your retailer for tariff/contract updates post-installation.
11.4 No performance guarantees are provided.
12. Warranty
12.1 Our liability is limited to repair/replacement under Australian Consumer Law.
12.2 Warranties void if:
a) The system is modified without consent;
b) Installed by non-SAA electricians; or
c) Payments are overdue by 10+ days.
12.3 Labour/delivery costs for claims may apply (payable in advance).
13. Ownership & Responsibility
Goods are Your responsibility upon delivery. Ownership transfers once full payment and STC paperwork are complete.
14. Building Defects
14.1 You warrant the Property is safe, defect-free, and suitable for installation.
14.2 We are not liable for damage due to Property defects (e.g., brittle tiles, poor roof supports).
14.3 You must rectify defects before installation.
15. Grid Connection
15.1 Grid/meter connections are Your responsibility (costs excluded).
16. Meter Costs
Bi-directional/gross meter installation is not included in the Quote unless specified.
17. Repossession
Unpaid amounts entitle Us to reclaim the Goods and recover associated costs.
18. Refunds
Refunds are issued if:
a) You cancel within 10 days of signing prior to installation.
b) Installation is delayed >6 weeks;
c) You reject a price increase; or
d) The grid connection is denied.
19. Complaints
Complaints may be submitted via phone or written notice (post/email).
20. Dispute Resolution
20.1 In case of a dispute, both parties agree to attempt resolution in good faith before taking legal action.
20.2 If unresolved, either party may refer the matter to NSW Fair Trading or the NSW Civil and Administrative Tribunal (NCAT).
21. Governing Law
This agreement is governed by the laws of New South Wales, Australia.
